Governance
Strong governance helps us do the right thing for our customers, colleagues, shareholders and communities.
Our Governance strategy sets out how we make fair, transparent and accountable decisions. It supports the way we manage risk, oversee performance and build trust, while helping us deliver against our business and sustainability ambitions.
Aligned to Banco Santander’s global governance model, our approach is built around three strategic pillars, with a focus on UK-specific priorities and regulatory expectations.
As we continue to transform into a more digital, future-focused business, strong governance helps us make decisions more effectively, respond to change and create long-term value.
Corporate governance
Our corporate governance framework supports effective leadership, oversight and accountability across Santander UK.
The Board is responsible for overseeing the long-term success of the business, including strategy, risk management and governance. Governance committees support the Board in providing independent oversight and constructive challenge across key areas of the business.
Strong corporate governance helps us maintain effective controls, support operational resilience and manage risk responsibly. Transparency is also an important part of our approach. Through our reporting and disclosures, we aim to provide clear information about our governance framework, priorities and performance.
By maintaining strong governance standards, we aim to support sustainable growth and create long-term value for our stakeholders.
Business conduct
Acting responsibly is central to how we do business. We aim to maintain high standards of conduct across Santander UK, supported by clear policies, controls and governance frameworks that guide decision making and help deliver good customer outcomes.
Our approach to business conduct is designed to support: fair and transparent decision making strong risk management and oversight ethical behaviours and responsible business practices accountability across all areas of the organisation long-term sustainable growth.
We continue to strengthen our governance framework to reflect changing regulation, evolving customer expectations and emerging risks. Creating a culture of accountability and responsibility helps us build trust with customers, colleagues, shareholders and wider society.
Sustainability governance
Good governance plays an important role in delivering our sustainability strategy.
Our sustainability governance framework supports oversight of environmental, social and governance priorities across the business. It helps ensure sustainability-related risks and opportunities are considered in decision making and embedded into our wider business strategy.
Oversight is provided through governance forums and committees across the Bank, with regular reporting to support accountability and effective management of sustainability priorities. This includes areas such as:
- climate and environmental risk
- responsible banking and sustainable finance
- customer and community outcomes
- colleague wellbeing and inclusion
- regulatory and stakeholder expectations
As sustainability expectations continue to evolve, we are continuing to strengthen how sustainability considerations are integrated into governance processes, risk management and business decision making.
