Announcement of Tender Offer

Santander UK plc (the "Company") today announces its invitation to holders (the "Noteholders") of the Notes described below (the "Notes" and each a "Series"), to tender their Notes (although the Company reserves the right, in its sole discretion, not to accept any such tendered Notes) for purchase by the Company for cash at the respective prices set forth below (the "Tender Offer").
The Tender Offer is being made on the terms, and subject to the conditions, contained in a tender offer memorandum dated 3 July 2012 (the "Tender Offer Memorandum") prepared by the Company, and is subject to the offer and distribution restrictions set out in the document below.
